These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client” or “User”) and RepuLex Legal ORM Services (“RepuLex”, “we”, “us”, or “our”), a service entity registered and operating in India. By accessing repulex.com, submitting an inquiry, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
These Terms are governed by and construed in accordance with the Indian Contract Act, 1872, the Information Technology Act, 2000, the Consumer Protection Act, 2019, the Bharatiya Nyaya Sanhita, 2023 (BNS), and all other applicable Indian law in force as of the effective date above.
1. Nature of Services
RepuLex provides legal online reputation management (ORM) services, which include:
- Legal notices under the IT Act 2000, BNS 2023, and other applicable statutes.
- Defamation and false content removal requests to platforms, intermediaries, and search engines.
- Court-based remedies including injunctions and takedown orders.
- Removal of false, defamatory, morphed, or unauthorised content from websites, social media, review platforms, and search results.
- Removal of anonymous reviews on Google, Glassdoor, Justdial, and similar platforms.
- Reputation monitoring, advisory, and related legal consulting.
RepuLex does not provide general legal representation in matters unrelated to online reputation management. Nothing on this website constitutes legal advice for matters outside the scope of ORM.
2. Eligibility
You may use our website and services only if:
- You are at least 18 years of age or have obtained parental or guardian consent.
- You have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.
- Your use is not prohibited by any applicable law or regulation.
3. Engagement & Contract Formation
Submitting an inquiry or consultation form does not by itself create a client-attorney or service relationship. A binding service agreement is formed only when:
- RepuLex issues a formal engagement letter or service agreement; and
- You accept such agreement (electronically or in writing); and
- The agreed retainer or fee is received by RepuLex.
All engagements are subject to execution of a Non-Disclosure Agreement (NDA) prior to substantive discussion of your matter.
4. Fees & Payment
- All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes including GST.
- Fees are payable as specified in the engagement letter. Non-payment may result in suspension of services.
- Consultation fees, if applicable, are non-refundable once the consultation has been conducted.
- Retainer fees are refundable only to the extent not earned, as stated in the engagement letter.
- RepuLex does not offer contingency fee arrangements for ORM services.
5. No Guarantee of Outcome
RepuLex makes no guarantee, warranty, or representation regarding specific outcomes, including but not limited to the removal of particular URLs, search result rankings, or the success of legal proceedings. Results depend on factors outside our control, including platform policies, court decisions, and third-party responses. Past results referenced on this website are illustrative only and do not guarantee similar outcomes.
6. Client Obligations
You agree to:
- Provide accurate, complete, and truthful information in all communications with RepuLex.
- Not use our services to target content that is true, lawful, or not defamatory.
- Not use our services for any unlawful purpose or in violation of any applicable law.
- Cooperate fully and promptly with our team, including providing documentation as requested.
- Maintain confidentiality of strategy discussions and legal advice received from RepuLex.
Providing false information or misusing RepuLex services may result in immediate termination of engagement without refund and may expose you to legal liability under BNS 2023 and the IT Act 2000.
7. Intellectual Property
All content on this website — including text, graphics, logos, page design, and proprietary methodologies — is the intellectual property of RepuLex and is protected under the Copyright Act, 1957and applicable Indian IP law. You may not reproduce, distribute, or create derivative works without our prior written consent.
The “RepuLex” name and logo are proprietary marks of RepuLex Legal ORM Services. Unauthorised use constitutes trademark infringement.
8. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- RepuLex’s total aggregate liability to you for any claim arising under or in connection with our services shall not exceed the total fees paid by you to RepuLex in the three months preceding the claim.
- RepuLex shall not be liable for indirect, incidental, consequential, or punitive damages, loss of profits, loss of data, or reputational harm arising from third-party actions beyond our control.
- RepuLex is not liable for delays or failures caused by force majeure events, including court delays, platform policy changes, or internet disruptions.
9. Confidentiality & NDA
RepuLex treats all information shared by clients as strictly confidential. A formal NDA is executed before substantive discussions. RepuLex will not disclose client information except:
- With the client’s explicit written consent.
- As required by a valid court order, summons, or statutory obligation under Indian law.
- To empanelled legal professionals strictly necessary for service delivery, bound by equivalent confidentiality obligations.
10. Intermediary Liability (IT Act 2000)
This website operates as an intermediary within the meaning of Section 2(1)(w) of the IT Act, 2000 only to the limited extent it hosts user-submitted inquiry data. RepuLex complies with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. We do not exercise editorial control over third-party platforms and are not liable for content appearing on external websites.
11. Prohibited Uses
You must not use our website or services to:
- Remove or suppress truthful, lawful, or non-defamatory content.
- Harass, threaten, or intimidate any person.
- Upload malware, conduct phishing, or interfere with website security.
- Impersonate any person or entity or provide false credentials.
- Violate any applicable law of India or any other jurisdiction.
Prohibited use may result in legal action under the BNS 2023, IT Act 2000, or other applicable statutes.
12. Termination
Either party may terminate a service engagement by providing written notice as specified in the engagement letter. RepuLex reserves the right to immediately suspend or terminate services — without refund of unearned fees — if the client provides materially false information, breaches these Terms, or engages in conduct that is unlawful or contrary to the purpose of these Terms.
13. Consumer Rights (Consumer Protection Act, 2019)
Clients who are “consumers” within the meaning of the Consumer Protection Act, 2019 retain all rights available to them thereunder, including the right to approach the appropriate Consumer Disputes Redressal Commission for grievances arising from deficiency in service. These Terms do not curtail any statutory consumer rights.
14. Amendments
We reserve the right to amend these Terms at any time by posting the updated version on this page with a revised effective date. Your continued use of our website or services after such amendment constitutes acceptance of the revised Terms. For active engagements, material changes require written notice.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any dispute arising from or in connection with these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended), with the seat of arbitration in New Delhi. The language of arbitration shall be English. Nothing herein prevents either party from seeking interim relief from a court of competent jurisdiction. The courts at New Delhi shall have exclusive jurisdiction over all other matters.
